These Terms & Conditions (“Terms”) govern your access to and use of the Power RFP website, application, and related services (collectively, the “Services”).

The Services are owned and operated by Power Information Systems Inc., operating as Power RFP (“Power RFP”, “we”, “our”, or “us”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, please discontinue use of the Services.

1. Acceptable Use

You agree to use the Services only for lawful business purposes and in accordance with applicable laws and regulations.

• Submit false, fraudulent, misleading, defamatory, or unlawful information.

• Upload malware, viruses, or harmful software.
• Interfere with the operation, security, or availability of the Services.

2. User Accounts

Users are responsible for maintaining the confidentiality of account credentials and for all activities occurring under their account.

Users agree to provide accurate and current information and to promptly update any information that becomes inaccurate.

Power RFP reserves the right to suspend, restrict, or terminate accounts that violate these Terms or present a risk to the Services or other users.

3. Service Availability

Power RFP continually works to improve the Services but does not guarantee uninterrupted availability, error-free operation, or compatibility with all devices, browsers, or systems.

Power RFP reserves the right to modify, suspend, restrict, or discontinue any feature, functionality, or service at any time.

4. Power AI

Power RFP may offer optional AI-assisted drafting tools (“Power AI”) to assist users in generating draft project descriptions, specifications, procurement documents, and other business content.

AI-generated content is provided as a drafting aid only and may contain inaccuracies, omissions, or errors.

Users are solely responsible for reviewing, validating, modifying, and approving all AI-generated content before use.

Use of Power AI is entirely optional.

5. Payments

Certain Services may require payment of fees, subscriptions, or service charges.

Payments may be processed through third-party providers, including Stripe.

Power RFP does not store complete payment card information.

Failure to pay applicable fees may result in restriction, suspension, or termination of access to paid Services.

6. Intellectual Property

Unless otherwise stated, all trademarks, logos, branding, software, functionality, website content, and materials provided by Power RFP remain the property of Power Information Systems Inc. or its licensors.

Users may not reproduce, modify, distribute, resell, or commercially exploit any portion of the Services without prior written permission.

Users retain ownership of content they submit through the platform, subject to the rights granted under the applicable User Agreement.

7. Privacy

Collection, storage, processing, and use of personal information are governed by the Power RFP Privacy Policy.

By using the Services, users consent to the collection and use of information as described in the Privacy Policy.

8. Third-Party Services

The Services may contain links to third-party websites, applications, services, or integrations.

Power RFP is not responsible for the content, availability, privacy practices, security, or actions of any third-party service.

Use of third-party services is at the user’s own risk.

9. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Power RFP disclaims all warranties, representations, and conditions, whether express or implied, including but not limited to:

• Accuracy
• Reliability
• Availability
• Merchantability
• Fitness for a particular purpose
• Non-infringement

Power RFP does not guarantee that:

• The Services will be uninterrupted or error-free.
• Information available through the Services is accurate or complete.
• User-generated content is reliable.
• The Services will meet every user’s requirements or expectations.

10. Limitation of Liability

To the fullest extent permitted by law, Power Information Systems Inc., Power RFP, its officers, directors, employees, affiliates, contractors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising from or related to:

• Use of the Services.
• Inability to use the Services.
• User-generated content.
• AI-generated content.
• Third-party services.
• Service interruptions, errors, delays, or technical failures.

Nothing in these Terms excludes liability where such exclusion is prohibited by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Power Information Systems Inc., Power RFP, its officers, directors, employees, affiliates, contractors, and service providers from any claims, liabilities, damages, losses, costs, or expenses arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of any applicable law.
• Your infringement of the rights of any third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada.

Any dispute relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.

13. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Updated versions will be posted on the website or application.

Continued use of the Services following any update constitutes acceptance of the revised Terms.
